Introduction
CoShift Studio provides website, digital marketing,
design, presentation, email, content and creative
production services.
In these Terms and Conditions, “CoShift Studio”,
“CoShift”, “we”, “us” and “our” refer to
CoShift Studio.
“Client”, “you” and “your” refer to the individual,
business or organisation using the website,
requesting a quotation or purchasing services
from CoShift Studio.

Acceptance of these terms
By using this website, submitting an enquiry,
approving a quotation, paying an invoice or
instructing CoShift Studio to begin work, you
acknowledge the terms that apply to the relevant
interaction or service.
You should not approve a quotation or make payment
unless you understand the scope, pricing and
conditions that apply.
Nothing in these terms is intended to remove or
restrict a legal right that cannot lawfully be
excluded under applicable South African law.

The website provides a general overview of available
services. It does not guarantee that every service
will be available for every request, platform,
deadline or budget.
CoShift Studio may decline work that falls outside
its capabilities, capacity, preferred project types
or ethical standards.

Quotations, proposals and project scope
A quotation or proposal will normally confirm:

The agreed deliverables

The project price or monthly fee

The payment structure

The expected production period

The included revision allowance

Client responsibilities

Important exclusions or limitations

Additional third-party costs where known
Quotations remain valid for the period stated
in the quotation. Where no period is stated,
the quotation may be withdrawn or revised if
the project is not approved within a reasonable time.
Work outside the approved scope is not automatically
included. Additional work may require a separate
quotation, revised timeline or written change approval.

The final price depends on the approved scope,
content readiness, technical requirements,
platform, quantity, complexity and deadline.

Client responsibilities
The client is responsible for supplying the
information and cooperation reasonably required
to complete the project.
This may include:

Accurate business and contact information

Approved copy, text and project instructions

Brand files, logos, images and visual references

Website, hosting or platform access
-
Product, service, technical and pricing information
-
Legally required statements and disclaimers

One authorised decision-maker

Consolidated written feedback

Approval before publication, printing or sending
The client confirms that information supplied
to CoShift Studio is accurate and that the client
has permission to use any supplied text, images,
logos, trademarks, documents, music, video or
other material.
CoShift Studio is not responsible for claims,
inaccuracies or legal issues arising from incorrect,
incomplete or unauthorised client-supplied material.

Payments and invoices
The required payment structure will be confirmed
in the quotation, invoice or service agreement.
Depending on the service, payment may include:

Full payment before smaller projects begin

An initial project payment with the balance
due before final delivery

Monthly payment in advance for recurring support
-
Separate payment for approved add-ons,
supplier costs or work outside scope
Work will normally begin only after the required
payment, information and approvals have been received.
CoShift Studio may pause work or withhold unpublished
files and final deliverables while an amount is overdue.
Third-party fees, subscriptions, licences, printing,
advertising spend, stock media and supplier charges
are separate unless expressly included in writing.
Final files and publication may depend on full payment.
The quotation will explain when final files,
ownership rights, website transfer or publication
become available.

Timelines, scheduling and delays
Project timeframes are estimates based on the
agreed scope, current production schedule and
timely client cooperation.
The production period normally begins once
CoShift Studio has received:

The required initial payment

The approved project brief
-
The required content and files
-
Platform access where applicable

Any information required to begin production
Delivery dates may change when:

Client content or approvals are delayed
-
The scope changes
-
Feedback is incomplete or conflicting
-
A third-party platform or supplier causes a delay

Technical issues are discovered after work begins
-
Circumstances outside reasonable control occur
Where a client becomes unresponsive for an extended
period, the project may be paused and rescheduled
according to future availability.

Revisions, feedback and scope changes
The quotation will confirm the number or type
of revision rounds included.
A revision round means one organised and
consolidated list of reasonable changes submitted
by the nominated decision-maker.
Revisions generally cover adjustments within the
approved direction, such as:

Minor wording corrections

Reasonable image replacements
-
Spacing and layout refinements
-
Corrections to supplied information
-
Reasonable changes to the approved draft
A change may be treated as additional work when it:

Introduces a new deliverable
-
Changes the approved direction substantially

Replaces previously approved content
-
Requires substantial rewriting or redesign

Is requested after the included revision
allowance has been used
-
Results from incomplete or incorrect information
supplied by the client
Additional revisions or scope changes may be
quoted separately and may affect the delivery date.

Cancellations, postponements and termination
A client who wishes to cancel or postpone a
project should notify CoShift Studio in writing
as soon as possible.
Where a project is cancelled after approval,
amounts may remain payable for:

Work already completed

Production time already reserved or used
-
Approved third-party costs
-
Non-refundable supplier commitments
-
A reasonable cancellation charge where
permitted by applicable law
Any remaining refund will be assessed according
to the project stage, work performed, committed
costs and applicable legal rights.
Where a statutory cooling-off or cancellation
right applies, that right will not be removed
by these terms.
CoShift Studio may suspend or terminate a project
where:

Required payments remain overdue

The client repeatedly fails to supply required
information
-
The client requests unlawful, misleading,
abusive or unethical work
-
The working relationship becomes threatening,
discriminatory or unsafe

Continuing the project would create an
unreasonable legal or reputational risk

Intellectual property and ownership
Client-supplied material
The client retains ownership of material that
the client owned before providing it to CoShift
Studio.
The client grants CoShift Studio permission to
use that material only as reasonably required
to perform the approved services.
CoShift Studio work
Unless the quotation states otherwise, ownership
or agreed usage rights in the approved final
deliverables transfer only after all project
amounts have been paid.
Drafts, unused concepts, working files and
rejected directions remain the property of
their original owner unless transferred in writing.
Pre-existing systems and reusable material
CoShift Studio retains ownership of pre-existing
knowledge, processes, methods, reusable templates,
internal systems, code libraries and production
techniques used to create the work.
The client receives the rights necessary to use
the approved final deliverable as described in
the quotation.
Third-party material
Fonts, stock images, software, plugins, templates,
platform components and other third-party material
remain subject to their own licence terms.
The client may be required to maintain licences
or subscriptions for continued lawful use.

Third-party platforms and suppliers
Projects may depend on independent services such as:

Website hosting and domain providers
-
WordPress, Elementor or other website tools
-
Email-marketing platforms
-
Social-media platforms
-
Payment gateways
-
Stock-image, font or software providers
-
Printing and production suppliers
-
Analytics, scheduling and cloud-storage tools
Third-party services operate under their own
terms, availability, pricing and privacy policies.
CoShift Studio cannot guarantee that an independent
platform will remain continuously available,
unchanged, compatible or free from technical problems.
The client remains responsible for maintaining
required accounts, subscriptions, licences and
payment arrangements unless agreed otherwise.

Use of this website
Website visitors may use the CoShift Studio
website for lawful information and enquiry purposes.
You may not:

Attempt to gain unauthorised access to the website

Introduce malicious software or harmful code

Interfere with the website’s operation

Use automated systems to overload or misuse
the website

Submit fraudulent, abusive or unlawful enquiries

Misrepresent a relationship with CoShift Studio
Website content is provided for general information
and may be updated without prior notice.
An enquiry submitted through the website does
not create a project agreement until the scope,
price and acceptance have been confirmed.

Confidentiality and access information
CoShift Studio will take reasonable care when
handling confidential business information,
unpublished material and platform access supplied
for a project.
Access details should only be supplied through
an agreed and reasonably secure method.
The client should:

Create limited user access where possible

Avoid sharing personal master passwords

Remove or update access when the project ends

Use multi-factor authentication where available

Notify CoShift Studio when access changes
Separate confidentiality or non-disclosure
agreements may be used where a project requires
additional protection.
White-label Partner Desk work will be handled
according to the agreed confidentiality and
client-communication boundaries.

Portfolio, credit and project promotion
CoShift Studio may request permission to display
completed public-facing work in its portfolio,
website, proposals or social-media channels.
Confidential information, private project data
and unpublished business information will not
intentionally be displayed publicly.
White-label or confidential Partner Desk work
will not be published as CoShift Studio portfolio
work without written permission.
Where portfolio use has been approved, the client
may later request that sensitive or outdated
information be removed from future promotion.

Warranties, results and limitation of liability
CoShift Studio will provide agreed services with
reasonable care and skill.
However, no specific commercial result can be
guaranteed. Results may depend on factors outside
CoShift Studio’s control, including:

Market conditions

Audience behaviour
-
Advertising spend
-
Client follow-up and sales processes
-
Search-engine and platform changes
-
Third-party availability and performance
-
The accuracy and quality of supplied information
CoShift Studio does not provide legal, accounting,
tax, financial or regulated professional advice.
Clients remain responsible for obtaining specialist
approval where required.
To the extent permitted by law, CoShift Studio
will not be responsible for indirect or consequential
losses arising from matters outside the agreed
service or reasonable control.
Nothing in these terms excludes liability or
consumer rights where exclusion would be unlawful.
Clients must review work before publication.
Final approval includes checking names,
contact details, dates, prices, claims,
technical information, spelling, links and
legally required statements.

Events outside reasonable control
Neither party will be treated as having failed
to perform an obligation where performance is
prevented or materially delayed by an event
outside reasonable control.
These events may include:

Widespread internet, electricity or hosting outages

Natural disasters or severe weather
-
Government restrictions or changes in law
-
Serious illness or emergency
-
Cyber incidents affecting independent providers
-
Labour disruption or supplier failure
-
Platform-wide technical failures
The affected party should communicate the delay
as soon as reasonably possible. The parties may
then agree on a revised schedule, alternative
approach or fair termination arrangement.

Disputes and governing law
A concern or disagreement should first be raised
directly and in writing so that the parties can
attempt to resolve it practically and in good faith.
Where the matter cannot be resolved informally,
either party may use an appropriate mediation,
regulatory, consumer-protection or legal process.
These terms are governed by the laws of the
Republic of South Africa, subject to any mandatory
consumer or jurisdictional rights that apply.
A failure to enforce a term immediately does not
automatically mean that the right to enforce it
later has been waived.
Where one part of these terms is found to be
invalid or unenforceable, the remaining parts
should continue to apply as far as legally possible.

Changes to these terms
These Terms and Conditions may be updated when:

The latest version will be published on this
page with its most recent update date.
Changes will not retrospectively alter an existing
